TERMS AND CONDITIONS
WebStruct Terms and Conditions
This agreement is entered into by and between WebStruct, hereinafter referred to as the "Developer," and the client, hereinafter referred to as the "Client," collectively referred to as the "Parties."
1. Scope of Work:
1.1 The Developer agrees to provide website development services as outlined in the project proposal and/or specifications provided to the Client.
1.2 Any additional features, functionalities, or changes requested by the Client outside the scope of the initial agreement will be subject to additional charges and will be documented in writing.
2. Project Timeline:
2.1 The Developer will provide the Client with an estimated timeline for project completion. However, delays may occur due to unforeseen circumstances or changes in project scope.
2.2 The Client agrees to provide timely feedback, content, and any necessary approvals to ensure the project remains on schedule.
3. Payment Terms:
3.1 The Client agrees to pay the Developer the agreed-upon amount for the website development services.
3.2 A non-refundable deposit may be required before the commencement of work, with the balance due upon project completion or as otherwise specified in the project proposal.
3.3 Late payments may be subject to a penalty fee or interest as specified in the invoice.
4. Intellectual Property:
4.1 The Developer retains ownership of all code, design elements, and intellectual property created during the website development process until full payment is received.
4.2 Upon full payment, the Developer grants the Client a non-exclusive license to use, modify, and display the website for its intended purpose.
5. Confidentiality:
5.1 Both Parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
5.2 The Client agrees that the website development process, including code, design, and functionality, is the proprietary information of the Developer.
6. Warranty and Support:
6.1 The Developer provides a warranty period during which any defects or issues arising from the development process will be addressed at no additional cost to the Client.
6.2 Ongoing support and maintenance services can be provided at an additional cost and will be outlined in a separate agreement.
7. Termination:
7.1 Either Party may terminate this Agreement with written notice if the other Party breaches any material term or condition.
7.2 In the event of termination, the Client agrees to pay for all work completed up to the termination date.
8. Governing Law:
8.1 This Agreement shall be governed by and construed in accordance with the laws of Oklahoma.
